Issues 50.6M shares for loan cancellation

Yubo entered a Securities Purchase Agreement on July 23, 2025, to issue 50.6M Class A shares at $0.05 each—125% of that day's OTCQB close—to entities owned by President Jun Wang and CEO Yang Wang. No cash flows in; shareholder loans worth $2.53M cancel out. Approved by disinterested director and shareholders. Closing by July 31 dilutes existing holders sharply.
